Terms of Service

Introduction and acceptance

These Terms of Service govern your use of EasyConsign ('the Service'), operated by EasyConsign, a company registered in The Netherlands (KvK: 87899116).

By creating an account or using the Service, you agree to these terms. If you do not agree, do not use the Service.

Definitions

• Service: the EasyConsign software platform, including the web application, API, and related services.
• Account holder: the shop owner or business that registers for the Service.
• Shop data: the inventory, consignor, and transaction data entered by the Account holder.

Account registration

You create an account using accurate and complete information. You are responsible for keeping your login credentials confidential and for all activity that takes place under your account.

You must be at least 18 years old and authorized to enter into contracts on behalf of your business.

Acceptable use

You may only use EasyConsign for lawful purposes and in accordance with these terms. You may not:

• use the Service to process data you are not authorized to process.
• attempt to gain unauthorized access to other accounts or systems.
• reverse-engineer, copy, or distribute the software.
• use the Service in a way that interferes with its normal operation.

Data and privacy

Your shop data belongs to you. We process it only to provide the Service, as described in our Privacy Policy.

You can export your data at any time. You may request deletion when you close your account.

You are responsible for maintaining your own backups and exports of your shop data. EasyConsign retains your data for 30 days after account termination, after which it is permanently deleted. We recommend exporting your data before closing your account.

Automatic deletion of data

To keep the Service tidy and not keep more data than necessary, EasyConsign automatically deletes data in the following cases:

• Deleted items: items you delete go to the trash bin first. You can restore them there for 30 days. After that they are deleted permanently, together with their photos.
• Photos of sold items: 365 days after an item is sold, the photo of that item is deleted. The item and the sales data are kept.
• Accounts that aren't used: if your account has not been used for 365 days, in the dashboard or at the register by you or your employees, we delete your account and the shops of which you are the only owner, with all their shop data, including items, consignors and sales. You will receive an email about this 30 days and 7 days in advance at your account's email address. If you log in before that date, the deletion does not go ahead.

You are responsible for keeping your records as required by law. We recommend exporting your sales in good time.

Intellectual property

EasyConsign and its underlying software, design, and branding are owned by EasyConsign. Using the Service does not give you any ownership rights to the platform.

Your shop data remains your property. By using the Service, you grant us a limited license to process that data solely to provide the Service.

Service availability

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance where possible.

We are not liable for losses caused by downtime outside our control.

Warranty disclaimer

The Service is provided 'as is' and 'as available.' To the extent permitted by Dutch law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

Limitation of liability

To the extent permitted by Dutch law, EasyConsign's total liability arising from or related to the Service shall not exceed the total fees paid by you to EasyConsign in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages, including loss of profits, loss of data, or business interruption.

This limitation does not apply to liability arising from intent (opzet) or gross negligence (bewuste roekeloosheid) on our part, or to any liability that cannot be limited or excluded under Dutch law.

Consumer rights under Dutch and EU law are not affected by this limitation.

Accuracy of data and calculations

EasyConsign calculates consignor balances, commissions, and payouts based on the data you enter and the settings you configure (including commission rates, pricing, and sale records). You are responsible for verifying the accuracy of this data. EasyConsign is not liable for discrepancies or errors in balances, payouts, or reports that result from incorrect data entry, misconfiguration, or third-party payment processing errors.

EasyConsign provides software to support your consignment operations; we are not a party to, and are not liable for, disputes between you and your consignors regarding payouts, balances, or the terms of your consignment agreements with them.

Indemnification

You agree to indemnify and hold EasyConsign harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these terms, or claims brought by your consignors or customers relating to your business operations.

Termination

You may cancel your account at any time via account settings. We may suspend or terminate your account if you breach these terms, with reasonable notice where applicable.

After termination, your data is available for export for 30 days, after which it is deleted.

Governing law and disputes

These terms are governed by Dutch law. Disputes will be submitted to the competent court in The Netherlands.

If you are a consumer, the mandatory consumer protection rules of your country of residence also apply.

Changes to these terms

We may update these terms when the Service changes. We will give you at least 30 days' notice before material changes take effect.

Continued use of the Service after that date constitutes acceptance of the updated terms.
